Position Summary
Provides senior-level paralegal support to the Legal Department and substantive legal support across the company in a corporate healthcare environment. Applies extensive experience and judgment to independently manage complex legal projects, drafts and supports negotiation of high-level legal documents and agreements and provides high-quality legal support to business partners. Takes ownership on assigned matters, mentors junior paralegals and support staff, and collaborates effectively across departments to advance department and organizational goals.
Demonstrated knowledge of applicable healthcare regulatory frameworks such as the Stark Law, Anti-Kickback Statute, and HIPAA, as well as corporate governance and transactional matters. Performs other duties and projects as assigned.
Key Performance Areas
KPA 1 – Contract Drafting, Negotiation & Management
· Independently draft, review, revise, and negotiate corporate and healthcare agreements, including M&A, physician employment, management services, and professional services agreements.
· Identify and resolve contractual issues within established guidelines and escalate higher-risk matters for attorney review.
· Manage contract matters from intake through execution and track activity through Xakia.
KPA 2 – M&A, Due Diligence & Transaction Support
· Lead and perform due diligence for acquisitions, unwinds, and other corporate transactions.
· Prepare UCC forms and related filings.
· Coordinate document production and information requests with executive leadership and cross-functional business partners.
KPA 3 – Corporate Governance & Entity Management
· Manage entity formations, dissolutions, good standing requests, and ongoing entity-maintenance requirements.
· Draft and revise governance documents, including written consents, board and committee resolutions, and compliance-related policies.
· Maintain fictitious name filings and renewals.
KPA 4 – Legal Operations, Research & Process Improvement
· Research corporate and healthcare-specific laws, regulations, licensure requirements, CON laws, and transaction regulations.
· Develop SOPs, workflows, checklists, and processes to improve Legal Department efficiency and consistency.
· Support implementation of legal and operational requirements across the organization.
KPA 5 – Cross-Functional Support, Communication & Compliance
· Participate in cross-functional meetings and provide substantive legal and matter-status updates.
· Collaborate with business partners and internal stakeholders to support timely resolution of legal matters.
· Maintain confidentiality and ensure compliance with company policies, procedures, and applicable requirements.
Position Qualifications
Education
· Bachelor’s or associate degree required; paralegal certification a plus.
Minimum Relevant Experience
· 10+ years of relevant paralegal experience in a law firm or corporate legal department, supporting corporate and healthcare matters.
· Demonstrated hands-on experience drafting corporate transactional agreements, employment agreements, and other business agreements with limited attorney supervision.
· In-depth knowledge of healthcare laws and healthcare transactions, including the Stark Law, Anti-Kickback Statute, HIPAA, state licensure requirements, change of ownership, and certificate of need laws.
· Exceptional drafting, redlining, and negotiation support skills, with strong proofreading and verbal communication abilities.
· Ability to interact with Executive and Senior Management.
· Effective planning, problem-solving, and analytical skills.
· Ability to prioritize high-level matters, manage multiple projects, competing priorities, and deadlines.
· Experience with contract lifecycle management.
· Comfortable adopting new technology, including AI-enabled legal tools, and helping implement technology and process improvements.
