The Opportunity

Reporting to the Senior Legal Counsel, Americas, the Corporate Counsel provides practical, business-focused legal advice and support across a broad range of corporate, commercial, compliance, and operational matters. The role partners closely with business stakeholders to manage legal risk, support strategic initiatives, and enable growth across the organization.

The successful candidate will bring strong commercial contracting experience, sound judgment, and the ability to balance legal risk with business objectives. Candidates with experience supporting data privacy, data protection, information governance, cybersecurity, or related compliance matters will have opportunities to apply that expertise in support of the business.

Responsibilities

  • Draft, review, and negotiate commercial agreements, including client engagements, NDAs, referral agreements, vendor agreements, real estate leases, software agreements, subcontractor agreements, and employment offer letters.

  • Review public contract proposals, RFPs, RFQs, certifications, and representations.

  • Evaluate and resolve conflicts of interest.

  • Partner with the People Team on employment law matters.

  • Support collections activities, including collection letters and proofs of claim.

  • Assist with acquisitions, due diligence, and post-acquisition integration.

  • Support legal, risk, and compliance initiatives across the business.

  • Conduct legal and regulatory research and monitor developments affecting the company.

Qualifications and Experience

Required

  • Juris Doctor (JD) from an accredited law school.

  • Member in good standing of the Pennsylvania or New Jersey Bar.

  • 5+ years of relevant legal experience within a law firm and/or corporate legal department.

  • Demonstrated experience drafting, reviewing, negotiating, and managing a wide range of commercial agreements.

  • Strong knowledge of corporate, commercial, and general business law principles.

  • Ability to identify legal risks and provide practical, business-oriented solutions.

  • Experience partnering with business leaders and stakeholders across multiple functions.

  • General familiarity with data privacy, data protection, cybersecurity, information governance, or related compliance considerations.

  • Excellent analytical, communication, negotiation, and stakeholder management skills.

  • Strong business and professional ethics with sound judgment and integrity.

Preferred

  • Spanish language proficiency.

  • In-house legal experience supporting a professional services, consulting, or technology-enabled organization.

  • Experience drafting, reviewing, and negotiating Data Processing Agreements (DPAs), privacy-related contract provisions, or similar agreements involving data protection obligations.

  • Experience supporting data privacy, data protection, cybersecurity, information governance, regulatory compliance, or related risk management initiatives.

  • Familiarity with U.S. privacy laws, data breach response obligations, privacy risk management, or AI governance considerations.

  • Privacy-related certifications or training such as CIPP/US, CIPM, AIGP, or similar credentials.
