HaysMac is currently recruiting an Assistant Company Secretary to provide an efficient, professional company secretarial service to internal and external clients, to continually increase the quality of service and to encourage client referrals and repeat business with the aim to increase revenue and profits.
Key Tasks
- Company restructuring, capital reductions, share buy backs, share allotments and transfers;
- Attend client board meetings and take the minutes thereof;
- Maintain clientcompanies on ‘Diligent’ and ensure all statutory deadlines are complied with including preparation and filing of confirmation statements;
- Incorporate newcompanies;
- Prepare documentation for client companies including change in registered office, change in officers and change in accounting reference date;
- Prepare accounts approval documentation;
- Prepare dormantcompany accounts;
- Liaise with andprovide general advice on company secretarial matters and corporate governance to clients and other members of the firm;
- File documents with Companies House and the Charity Commission;
- Prepare proposals and quotes for new clients and assist with general business development;
- Billing;
- Assist the head of department with general administration and special projects;
- Superviseand train junior members of staff.

Qualifications / Knowledge
Work based competencies & experience
- Company secretarial skills and experience in a professional services environment in a similar role (ideally, accountancy practice or law firm, but candidates with an in-house background will also be considered)
- A good level of IT skills is required, including:
- Microsoft Office suite – particularly Word and Excel (Windows VISTA)
- ICSA qualified or part-qualified
- Diligent Entities – expert level
