Interim Transaction Readiness Manager
Location: Worcestershire / flexible hybrid working
Commitment: Three days per week (Potential for full time role, different responsibilities for the other 2 days)
Rate: £500 per day
Contract Length: 3-6 months, potential to extend.
The opportunity
SF are partnering with a well-established manufacturing business, seeking an experienced Interim Transaction Readiness Manager to support the FD in preparing for a potential corporate transaction.
The company operates internationally across multiple sectors, with a significant presence in the US.
This is a hands-on role focused on transaction readiness, vendor assistance and due-diligence preparation. The successful candidate will ensure the business, its information and its management team are ready for engagement with prospective buyers and their advisers.
Key responsibilities
Lead the preparation and management of the transaction data room.
Coordinate information requests across finance, commercial and operational teams.
Identify information gaps and ensure materials are complete, consistent and buyer-ready.
Prepare financial analysis covering adjusted EBITDA, working capital, net debt and historical trading.
Support financial, commercial and operational due diligence.
Anticipate buyer questions and coordinate accurate, timely responses.
Prepare briefing papers, presentations and analysis for buyer discussions.
Support the preparation of tailored buyer and teaser materials.
Coordinate management, shareholders and external advisers across the transaction.
Maintain clear actions, responsibilities and deadlines throughout the process.
Candidate profile
The successful candidate will ideally have:
A background in transaction services, financial due diligence, vendor assistance, corporate finance or M&A.
Direct experience supporting a sell-side transaction or preparing a business for sale.
Practical experience of managing data rooms and due-diligence information requests.
Strong knowledge of adjusted EBITDA, working capital and net debt.
Experience preparing data books, buyer Q&A or management presentations.
Strong project-management and stakeholder-coordination skills.
A pragmatic, hands-on approach suited to an entrepreneurial SME.
An ACA or ACCA qualification and experience within a Big Four, mid-tier or specialist transaction-services practice would be advantageous
