We're looking for an experienced Corporate Solicitor to join Shoredons as a consultant, with a particular focus on small to medium-sized mergers and acquisitions.

The majority of the work we expect to provide will involve advising shareholders, founders and owner-managed businesses on transactions from initial instruction through to completion.

Alongside business sales and acquisitions, you'll advise clients on a broad range of corporate matters, including:

• Shareholders' agreements.
• Articles of association.
• Group restructures and reorganisations.
• Share buybacks and other returns of capital.
• Share issues, allotments and transfers.
• Company incorporations and corporate structuring.
• Investment and subscription agreements.
• Management buyouts and buy-ins.
• Joint ventures.
• Corporate governance and Companies Act queries.
• Director and shareholder matters.
• Companies House filings and other general corporate matters.

You'll need to be comfortable managing transactions from start to finish.

We're looking for a solicitor who:

• Has at least 6 years' post-qualification experience as an English qualified corporate solicitor.
• Has strong experience advising on small to medium-sized business mergers and acquisitions.
• Has broad experience advising owner-managed businesses on general corporate matters.
• Has experience with, and is flexible with fees, when advising on smaller transactions.
• Can confidently manage transactions from instruction through to completion.
• Is commercially minded and gives pragmatic, straightforward advice.
• Takes pride in delivering exceptional client service.
• Is comfortable working independently in a fully remote environment.
• Is based in the United Kingdom.

Experience advising on commercial contracts would also be particularly attractive, including drafting, reviewing and negotiating agreements such as terms and conditions, supply and services agreements, distribution agreements and other day-to-day commercial contracts.

An existing client following or referral network would also be particularly attractive, but you won't be expected to generate all of your own work. Shoredons will provide work, with the opportunity for you to develop your own client base alongside it.
