ASSISTANT COMPANY SECRETARY

EDINBURGH OFFICE BASED 2-3 DAYS A WEEK

What You’ll Do:

• Draft key documentation: board minutes, resolutions, Companies House forms, share certificates, and incorporation documents.
• Assist with board and shareholder meetings, including agendas, attendance, and minutes.
• Maintain statutory books electronically (Diligent Entities) or manually with precision.
• Manage compliance: confirmation statements, accounts reminders, and PSC filings.
• Conduct company searches and relevant research, providing clear guidance to clients and colleagues.
• Keep files and administration up to date, including billing, time recording, and housekeeping.
• Stay ahead of legislative changes and contribute to firm-wide updates and best practices.

What We’re Looking For:

• Experience in company secretarial work, ideally within legal or professional services.
• Strong board support and minute-taking skills.
• Inquisitive, detail-oriented, and problem-solving mindset.
• Paralegal qualification in Company Law or Law Society of Scotland accreditation preferred; LLB graduates looking to specialise welcome.
• Familiarity with Diligent Entities or similar software is a plus.
• Team player with excellent relationship-building skills.
